1. Acceptance of Terms

By accessing or using the CEZN platform (available at cezn.website), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy.

These terms apply to all visitors, users, sellers, and any other persons who access or use the platform. If you are using CEZN on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

1.1 Eligibility

To use CEZN, you must:

• Be at least 18 years of age, or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Not be barred from using the platform under applicable laws
• Provide accurate, current, and complete registration information

CEZN is an all-in-one business management, branding, and scaling platform. We provide the following services to our users:

We continually improve and expand our services. Some features may be available only on certain subscription plans. CEZN reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. User Accounts

3.1 Account Creation

To access most features of CEZN, you must create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Keep your password confidential and not share it with anyone
• Notify us immediately if you suspect unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Use a strong, unique password and enable two-factor authentication when available

3.3 Account Types

CEZN offers different account types including buyer accounts, seller accounts, and business accounts. Each account type has specific features, capabilities, and obligations. By creating an account, you agree to the specific terms applicable to your account type.

4. Prohibited Activities

When using CEZN, you agree not to engage in any of the following activities. Violation of these prohibitions may result in immediate account termination and legal action.

5. Intellectual Property

5.1 CEZN's Intellectual Property

All content, features, and functionality of the CEZN platform -- including but not limited to text, graphics, logos, icons, images, audio, video, software, and code -- are the exclusive property of CEZN and are protected by international copyright, trademark, and other intellectual property laws.

5.2 User Content

You retain ownership of content you upload to CEZN (such as product listings, images, and descriptions). However, by uploading content, you grant CEZN a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your content in connection with operating and promoting the platform.

5.3 Trademarks

The CEZN name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CEZN. You may not use these marks without our prior written permission.

6. Payment Terms

6.1 Pricing

All prices on CEZN are displayed in Nigerian Naira (NGN) unless otherwise stated. Prices are subject to change without notice, though any changes will not affect orders already placed.

6.2 Payment Methods

CEZN accepts payments through various methods including bank transfers, debit/credit cards, and mobile money. All payment processing is handled by PCI-DSS compliant third-party providers.

6.3 Subscription Billing

If you subscribe to a paid plan, you agree to the following:

• Subscription fees are billed in advance on a monthly or annual basis
• Your subscription will automatically renew unless you cancel before the renewal date
• Refunds are subject to our Refund Policy
• We may change subscription prices with 30 days advance notice

6.4 Seller Payments

Sellers on CEZN receive payments according to the platform's payment schedule. CEZN may deduct applicable fees, commissions, and taxes before disbursing funds to sellers.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• CEZN provides the platform on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We do not warrant that the platform will be uninterrupted, error-free, or free from viruses or other harmful components
• CEZN shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform
• Our total liability for any claims arising from these terms or your use of the platform shall not exceed the amount you paid to CEZN in the 12 months preceding the claim

7.1 Third-Party Content

CEZN is a marketplace platform. We are not responsible for the quality, safety, legality, or any other aspect of products or services offered by sellers on the platform. Transactions between buyers and sellers are the sole responsibility of the parties involved.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination:

• Your access to the platform will be immediately revoked
• Any pending transactions may be completed or cancelled at our discretion
• Your data will be handled in accordance with our Privacy Policy
• No refunds will be issued for the remaining period of any active subscription

8.2 Termination by CEZN

We may terminate or suspend your account immediately, without prior notice, if:

• You breach any provision of these Terms and Conditions
• We are required to do so by law or legal process
• Your account has been inactive for more than 12 consecutive months
• We determine that your activities are harmful to CEZN, other users, or third parties

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from or relating to these terms or your use of CEZN shall be resolved through:

1. Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.
2. Mediation: If negotiation fails, the parties shall submit the dispute to mediation under the rules of the Lagos Court of Arbitration.
3. Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in Lagos, Nigeria.
